These terms apply to all orders placed with us. A brief summary is
outlined below for your convenience. For any inquiries or
clarification, please consult the complete documentation or reach
out to us.
-
Zero Point Manufacturing extends an offer to sell
products/services, conditioned on the Buyer's acceptance of
specified terms. Rejecting additional terms, ZPM requires
acceptance through a purchase order or product delivery. Accepted
terms form the entire agreement, superseding prior communications.
The offer is valid for 30 days, subject to ZPM's revisions or
withdrawal before acceptance.
-
Buyer can cancel orders within 24 hours after ZPM's order
confirmation. After this period, cancellations are subject to
ZPM's approval. ZPM may require payment for work done, and
cancellation charges are negotiable. Buyer may need to pay for
labor, materials, and a restocking fee if applicable, at ZPM's
discretion.
-
Prices quoted by ZPM are based on specified quantities; any
changes by the Buyer may result in price adjustments. ZPM can
modify prices if manufacturing costs increase due to quantity
changes or alterations in material/manufacturing requirements. ZPM
may adjust pricing for mandated costs, taxes, or tariffs during
the contract. Invoices are due within 30 days, with interest
applied on overdue accounts. ZPM can alter payment terms based on
the Buyer's financial condition. Buyer is responsible for costs,
including attorneys' fees, related to late payments or enforcing
ZPM's rights under the Contract.
-
ZPM's fulfillment of orders is contingent upon approval of Buyer's
credit. ZPM reserves the right, at its discretion, to withhold
shipments or services unless payment or satisfactory security
terms are met. In the event of bankruptcy or insolvency
proceedings against the Buyer, ZPM may cancel unfilled orders
without liability.
-
Buyer cannot return products without ZPM's prior written approval,
indicated by a granted Returned Materials Authorization (RMA)
number. ZPM holds the discretion to approve or deny the return.
The Buyer is responsible for shipping returned products at their
own risk and cost, ensuring secure packaging to prevent damage.
Any expenses incurred by ZPM to make returned products marketable
will be billed to the Buyer. The RMA number must be cited in the
Buyer's shipping documents.
